Description: As a practicing attorney for nearly 37 years, I was an early adopter of the Internet in 1995. I began Headlines Marketing in 1991 to sponsor and promote legal seminars and write books. I successfully launched an early Web-based legal directory, growing it into a million dollar business, which I sold in 2005 to Legal Brand Marketing. I am on a guaranteed payout until 2015 for this sale, and have already been paid in excess of $1 million in royalties. In 1995, I also began teaching other attorneys about growing their businesses through ethical, truthful, professional marketing, and have taught approximately 100 attorneys nationwide. Our law firm, by utilizing my training, is the dominant firm of its type in America. Here is my full professional bio: (URL removed) Recently, I recently began to focus on other Internet-based projects, and have teamed up with a veteran moblile apps technology expert, D. Thomas (Tom) Jay, from California to build a new start-up company. He and I have designed and built numerous apps-based products for which we seek a capital (equity) investor (angel, venture or otherwise) to help us take the projects to market. This may take $2mm to $5mm in the next 2 years. I have set up a Georgia company (an LLC) under which I propose to roll out this endeavor. Smash Media, LLC is the company name. My concept is that each product developed by Smash Media will have its own product identity and URLs, so that each product or service can be spun off once the value is sufficient to garner a qualified buyer. From these products and services, I would prefer a long-term earn-out from royalties, licensing fees or per-unit sales premiums, as opposed to ramping up infrastructure. Each app that we have designed to market has broad-based user appeal, and each involves some aspect of proprietary technology or intellectual property protection. All of these IP rights will be assigned to the LLC venture, when the equity partner signs on with us. We are also willing to repay our investor all equity money before splitting profits with the creators of these products. Only Mr. Jay and three other support/Internet employees will require salaries totalling less than $350k annually, since my law practice supplies me with ample income. The goal for these businesses is to sell them off once profitability and proof of concept is established, and the appropriate price is obtained for each product or service, based on sales, trending and projected growth.
