Description:
Affinity Wind, LLC (“Affinity” or the “Company”) was formed in 2008 and is an independent wind energy company, focused exclusively on the development of utility-scale wind energy projects. As a wind farm developer, our business model focuses on identifying attractive opportunities for investment, managing projects from conception to construction and operation, and selling projects to long-term owners either immediately prior to construction or at commercial operation date (“COD”). While our business is subject to many risks and uncertainties, the Company believes its business model provides numerous benefits, including the potential for high operating margins, risk diversification through the development of multiple projects, rapid investment cycle that allows for the reinvestment of retained earnings into operations, multiple liquidity and value realization alternatives, and high returns on invested capital.
Affinity is currently seeking $450,000 in equity funds, of which approximately $200,000 has been invested by the Company’s existing equity holders and their affiliates. Pre- and post-money valuations are approximately $2,925,000 and $3,379,000, respectively. Proceeds from the Offering will be used to fund operations and development costs through early 2011. At that time, Affinity expects to undertake another offering (the “Series B Offering”) in the amount of approximately $1,000,000. Proceeds from the Series B Offering will used to fund operations through COD of Phase 1 as well as initial development costs on Future Projects. The Company has prepared a detailed Confidential Investment Memorandum (the “Memorandum”), describing Affinity’s business, the Offering, and related risk factors and investment considerations. The Company will provide the Memorandum to interested parties, who are encouraged to thoroughly review it and consult with their legal, tax and other advisors prior to making any investment decision regarding the Offering.
