The minimum investment size I work with entrepreneurs is one hundred thousand dollars ($100,000). The typical amount is between two hundred fifty thousand dollars ($250,000) and three million dollars ($3,000,000). The typical funding process takes between four (4) and eight (8) months after the Executive Summary, Business Plan, Presentation and Private Placement Memorandum (“PPM”) are completed. My firm can provide all the services required for you to position your company to be the most advantageous for funding from the “Venture Capital World”, while protecting you and your early seed investor(s) from significant dilution and the potential of a hostile takeover…They don’t refer it, in a negative sense, as “Vulture Capital” for a reason. Services Include: 1. All legal matters to establish you as a corporation (including EIN, all required corporate documents and federal & state registrations) 2. Strategic Planning Process; Business Plan writing, Financial Projections that include; Statement of Operations, Balance Sheet, Statement of Cash Flow, Capital Structure, Detailed supporting schedules 3. Prepare Private Placement Memorandum (“PPM”), including all the necessary legal requirements for registration with SEC 4. SBA loan assistance 5. Debt Financing and Introductions to leading lending institutions 6. Introductions to leading venture capital law firms 7. Accounting and administration services 8. Human Resource compliance with all 50 states 9. Web site design, content and hosting (including domain registration) 10. Information Technology establishment – including HIPPA compliant data centers and transactional certification 11. Facility planning assistance and lease negotiations 12.
