Description: Executive Summary Global Energy Initiatives, LLC, (GEI) is one with the efforts of engineering and manufacturing of high quality, efficient and reliable commercial renewable energy hydrokinetic power generators for the 21st century energy solutions, in developing countries around the world. GEI promotes the application of renewable energy to increase the capacity of energy produced in an existing conventional hydroelectric plant worldwide, as an essential catalyst to meet global energy requirements and to create sustainable advancements in economic development. Niche: GEI was founded with the ultimate goal of engineering and creating sustainable and cost effective renewable energy systems for River and Ocean wave power applications. With system capacities ranging in Megawatts, GEI hydrokinetic parks systems can be used for; 1. River Application Systems: a) Grid Tied installations to increase the electric energy production capacity in an existing Small and Large Hydroelectric Plants, b) Grid Tied installations in an Undesirable and “C” class river resources that otherwise could not be used for conventional hydroelectric dams, and c) Off grid installations in Isolated Riverain Communities and cities of the world. 2. Ocean Motion Application: GEI Wave energy systems can be mounted in an ocean bottom floor and offshore to multiple ocean resources that exist within 60 miles in over 37% of the world populations and resource to wire technology can convey the energy produced to existing grids and substations. If UK Department of Trade and Industry report can be achieved; approximately $750 billion will be invested in wave energy over the next 25 years worldwide. Global Energy Initiatives Market Position (Brazil): GEI currently have operations in Brazil for the past two years as an energy producing company. We have developed business relationships with multiple utility companies and government organizations for licensing and commercialization of energy in Brazil. We are the only company in Brazil with ready to deploy hydrokinetic system in Brazil today. GEI access to energy market in foreign countries such as Brazil is made possible by our partnership with US embassy, US Foreign Trade Mission offices and US State Department in Washington. Global Energy Initiatives is also well positioned to market renewable energy system to many third world governments with the help of Global Village Hope Foundation a none profit organization with operations in these countries. GEI hopes to expand its services, with the aim of helping developing and under developed local and national governments worldwide to meet its energy needs through our patented hydrokinetic and Ocean renewable energy systems and to reduce reliance in fossil fuel through a carbon credit economy. Hydrokinetic energy generators are the most cost effective renewable energy systems in the market today. With an LCOE lower than Solar Energy systems, and comparable with Wind Energy systems, it is GEI’s aspiration to become an energy producing company in developing countries like Brazil were energy deregulated laws exist. GEI hydrokinetic and Wave energy megawatts units can easily be manufactured, installed in numerous river resources and the produced electric energy sold to the open market in as little as 8 months. GEI revenues will be derived from the following: a). Wholesale Electric Energy sales in an open market – Grid Tied b). Wholesale Electric Energy sales in an open market – Off Grid c). Partnerships with existing Small and Large Hydroelectric Plants to increase or double their existing electric production capacity d). Retail equipment sales to Energy Consortium of which GEI is a partner e). Retail energy sales to small Energy corporative in Isolated Communities f). Government Programs such as “Luz Para Todos” in Brazil where constitutional mandates requires energy introduction to rural areas and isolated communities who do not currently have electricity. g). Replacement of existing thermal energy equipments in various communities and cities across nations under Carbon Credit Initiatives h). World Bank and UN programs for Poverty eradication with electric energy generations. GEI financial information for our first year operation is detailed in our P&L projection (Retail Energy Sales in Isolated Communities are not included in this projections), sales forecast and four-year projections A very low estimate of 11.8MW/H of power has been used in our first year estimate even though we are currently negotiating a 45MW PPA with Groupo Energisa in Rio de Janeiro, and Rede Energia (CELPA) our technical partners in the first GEI system installation in the Amazonian River. GEI estimates that break-even will occur in the first year of operation. With the help of ICMS tax exemption and other tax exemptions, which are extended to new and renewable technologies. GEI may present an annual net profit over USD50 Million in the physical year ending in 2012. This will represent an annual rate of return between 25% to as high as 35% or more and will continue to grow for the next 10 years. Thus, GEI business is very economically feasible. GEI is in need of operating expenses, warehouse and other infrastructure acquisition for equipment assembly and R&D capital for USD$2,600,000. This will also pay for the cost of operating expenses in Brazil and the US, Brazilian equipment licensing in the Ministry of Mines and Energy, Aneel, Taxes, Barge construction, deployment, R&D, New Project Development, river resource acquisitions, workshop training, Engineering design and constructions. The above capital investment from the right investor will represent 10% stake in the GEI ownership as of October 2011.
