Description: BacSafe Solutions (BSI) is a U.S.A. Corporation, currently incorporating in Nevada that applies special sanitation programs to food producers, processors and distributors and distributes U.S. certified antimicrobial products. BacSafe‘s mission is to teach food growers, manufacturers, processors, food handlers, and each member of the supply chain how to improve the quality and safety of the products they produce and distribute by providing them with a new class of antimicrobials’ and solutions. These antimicrobial solutions are organic, FDA approved and environmentally friendly, leaving no harmful residues on the products. BacSafe Solutions core business is to generate a significant increase in food safety through the delivery of BacSafe, by applying its' antimicrobial ice, rinses and washes. BacSafe will replace chlorine, quats and/or ozone as a better, safer, and more effective alternative for the food industry. BacSafe is designed to protect products during harvest, processing and transportation. It is highly effective against a broad spectrum of microorganisms (bacteria, fungi and viruses). BacSafe reduces bio-films, cross-contamination, spoilage and off-odors, and does NOT change the taste, texture, color or nutritional value of the finished product. Moreover, it extends the shelf life of the product, which provides greater value to the retailer. BacSafe is a proprietary formula developed with the cooperation of Global Food Technologies, Idaho State University School of Biological Sciences, and with the cooperation of a California based chemical manufacturer. SiS Mexico entered into an exclusive licensing arrangement with GFT and the manufacturer in order to distribute and trial test this formula across a wide industry base. BacSafe is a special proprietary formula of Peroxyacetic Acid and is named BacSafe for branding purposes. BacSafe Solutions International, Inc aims to provide products and services to targeted businesses throughout Latin America, with plans to expand globally. This plan seeks to generate significant company sales and profits from the delivery of BacSafe. BSI was conceived through a pilot program that was provided by Seafood iCe Solutions, S.A. de C.V. (SiS), a Mexican Corporation, which began providing products and services to targeted business environments in Mexico. SiS has generated significant interest and product efficacy across multiple industries. SiS has demonstrated the markets acceptance of price points, which will yield generous profit margins to BSI. In addition to other uses, SiS is using BacSafe in hatcheries, in grow-out ponds as a cleaning agent, in water treatment and as an equipment sanitizer. BacSafe is an ideal antimicrobial agent due to its high oxidizing potential. It is broadly effective against microorganisms and is not deactivated by catalase and peroxidase, and the enzymes break down into hydrogen peroxide. It also breaks down to food safe and environmentally friendly residues (carbon dioxide and water), and therefore can be used in non-rinse applications. It can be used over a wide temperature range of (0-40º plus C), wide pH range (3.0—8.5), clean in place (CIP), and in hard water conditions. BacSafe can be used as high as 190 parts per million (ppm) in rinses and washes to make BacSafe iCe, BacAttack, etc., without having to rinse the product, per the Food Contact Notice issued May 8, 2007, by the Food and Drug Administration. For Seafood, BacSafe is applied at 40 to 50 ppm for ice applications; for rinses and washes, 20 ppm is used. Doses are dependant on the particular conditions of each facility. Other products vary. It was prudent to establish internal distribution until a fair amount of market diversity and volume was captured and attained. Internal distribution only required nominal deliveries, making it easy to establish with minimal employees. Once these goals were met, SiS took a proactive approach to the selection of clients. SiS intended to and has partnered with reputable local and regional suppliers and companies that will help reduce competition, improve pricing, and increase profit margins to ensure a wide dispersion of products across many different markets. BSI/SiS are also looking into other products and services to market in conjunction with BacSafe as they further develop their distribution channels and technologies. BSI’s intention is to cookie cut the successful SiS paradigm proven in Mexico, which will enable BSI to grow at a more accelerated pace once funding is finalized. During the tests and trials in Mexico, SiS quickly discovered that BacSafe can be used for the entire food industry and is the best replacement for Chlorine, the most common food sanitizer used today. The name change “BacSafe Solutions International” allows SiS to enter other food processing markets without confusing their target audience and limiting the company to seafood. BSI/SiS market research and field studies have determined the size and growth of the market and geographical segments, customer needs, perceptions and buying trends. Buying behavior trends have been on the upswing, and are expected to continue in this trend, as production increases, for the next five years in the seafood sector(s). BSI management believes that BSI/SiS will fill a void in the food safety sector. BSI will benefit from operations that began November 2007 from SiS’s launch of BacSafe’s organic antimicrobial solution into the seafood sector. Subsequently SiS introduced BacSafe into Mexico’s meat, pork, vegetables, fruit, wine, beer, dairy and poultry industries. BacSafe will also be used in hotels and restaurants as a sanitizer for food contamination, and can be used as a one-product solution for all their sanitizing needs, which the competition cannot provide. New Brand names will be decided upon once BSI penetrates each sector. BSI’s objective is to make significant in roads into many industries quickly, before competition recognizes the serious threat to their market share. BSI plans to penetrate each industry and achieve maximum profit potential in the business-to-business and business-to-consumer food industry. Chlorine, ammonia based products and ozone are the products BSI intend to replace in the world food processing communities. Each of these products has significant limitations compared to BacSafe. Food market news recently reported on a meeting in Brussels where veterinary experts from 26 of 27 European Union member states announced their opposition to poultry washed in chlorine and strongly expressed their support of an import ban on U.S. chicken. BSI firmly believes BacSafe will replace chlorine as the food contact substance of choice. BacSafe is environmentally friendly, organic and kosher Manufactured; and achieves far greater efficacy with lower concentrations than other competing antimicrobial agents (3000% to 4000% less). Therefore, it represents a superior product, which is priced on a similar, if not reduced, replacement cost basis. Thus, BSI/SiS are not asking the processor to pay a premium for this product, but to merely pay what they have been paying, while achieving significant improved performance. The indirect benefits of replacing chlorine include an improved yield during production, less health concerns among workers, less water usage, more effective water treatment, reduced labor costs involved with daily plant cleaning, and reduced loss of product due to temperature abuse and microbial growth. BSI intends to incorporate a unique insurance program partnered with risk management services that support processors who sell their product into the global seafood market. This program will bundle a number of coverage’s targeted at food regulatory interventions, i.e. detention, refusal, seizure and product recall events. In addition to the indemnifications, which will be provided to the supply chain, the processing clients of BSI will receive representation before food regulators when and if federal or state health authorities discover a food safety violation. By eliminating uncertainty and risk from the purchase transaction, processors who qualify for this coverage will find their product more attractive in the market place. Buyers will always gravitate to products where the risk of food regulatory intervention can be eliminated and managed by a third party, especially in a world dominated by food safety concerns. This program is possible because of the efficacy achieved by BSI’s proprietary antimicrobial and BSI’s ability to apply this technology to critical control points in the harvesting, transportation, processing and distribution sectors. There is not a single company in the world that can achieve the insurance coverage for industry that BacSafe Solutions is able to provide. This attribute alone makes BacSafe a win win situation for all.
