THE FOLLOWING SUMMARY IS QUALIFIED IN ITS ENTIRETY BY THE MORE DETAILED INFORMATION THAT APPEARS THE CONFIDENTIAL PRIVATE PLACEMENT MEMORANDUM DATED AUGGUST 15, 2008.
World Changing Technologies, LLLP (“WCT” or the “Partnership”) is a Delaware limited liability limited partnership formed to promote, develop, and license certain high-output, energy-saving technologies. These technologies are patented Mass Utilization Motors (“MU Motors” or “the Technology”) , including key components, such as the Reduced Resistance Radial Ball Bearing Assembly (“RRR Bearings”).
Tests show the prototype MU Motors to be at last twice as efficient as conventional electric motors, and the RRR Bearings to increase efficiency 20% to 23% over conventional bearings.
The Partnership’s General Partner has hired an engineering consultant to evaluate the Technology. This engineer has concluded that the Technology could deliver the results represented by the inventor of the Technology. Three professors from a state university are seeking the inventor’s permission to write a scientific article about the Technology.
WCT plans to acquire an interest in the Technology, including the RRR Bearings, using funds raised from this Offering. WCT also plans to market licenses for the Technology for use in the electric power generation, automotive, and construction equipment industries, among others. Other anticipated uses for the Technology include: pumps, aircraft, marine craft, power tools, computers, and more – virtually any equipment that requires a power source.
Licenses for both the MU Motors and the RRR Bearings can cost of millions of dollars. WCT has an agreement to be paid a 10% finder’s fee by the inventor of the Technology. In addition, WCT has an opportunity to acquire membership units in the company that holds the patent rights to the Technology. In addition, the inventor is offering to share ownership of the RRR Bearings with WCT as a guarantee for the MU Motors.
WCT is selling 95 Interests at $10,000 each to use to carry out its business plan. Interests may be purchased in two ways: (1) Purchasing an Interest outright for the offering price of $10,000; or (2) Purchasing an Option for $1,000, and depositing with the Partnership the remaining $9,000 of the offering price, which will be held in an interest-bearing escrow account pending either exercise or expiration of the Option.
WCT’s distribution of profits are to be made as follows: (1) First, 100% to the Limited Partners until they have recovered the amount of their investment; (2) Then, 70% to the Limited Partners and 30% to the General Partner until each Limited Partner has been paid two more times its investment; and (3) Then, 30% to the Limited Partners and 70% to the General Partner thereafter. Distributions will only be made after payment of Partnership expenses.
Investors purchasing Limited Partner Interests and Option holders that exercise their Options will be admitted to the Partnership as limited partners upon approval by the General Partner and will share in profits of the Partnership according to the above formula.
