Liquid Leverage is a series of private equity funds for opportunistic real estate investment in today's downtrodden real estate market. Liquid Leverage Management LLC is seeking seed capital investment for a new Liquid Leverage Fund. Minimum investment is $200,000, maximum $1M. Approximately $100,000 is for securities attorney legal expenses to establish the new fund's offering memorandum. About $30,000 is for website and marketing. $50,000 is for initial operating capital. The remainder is for initial investment capacity by the Fund Manager to build asset value in the fund prior to the strike point of the fund shares. The Term Sheet, Subscription Agreement and Promissory Note are prepared for our seed capital investors, and we have our first $500,000 committed. We are seeking additional seed capital investment of $1M, with a minimum investment of $200,000. Total seed capital investment will not exceed $1.5M. The form of investment is a loan (Promissory Note) with an option to convert to fund shares at the strike point of the fund at a substantial discount to the strike price. The loan term is 2 years maximum, and we anticipate the strike point/fund launch occurring in approximately 6 months.
