Description: US company owns a very successful UK online dating business (and rights to other exciting technologies.) Expanding business to the US in August through a $2M convertible debenture. This is a three-year debenture paying a 16% Annual Percentage Rate Compounded Annually with conversion rights at 75 cents per share. The debenture carries full piggyback registration rights and full anti-dilution protection. The debenture also carries a cashless warrant at 40 cents per share. VideoLine is profitable and other than the debenture we have no debt. We also have the shareholders (56 total) and the income to force registration and auditors and SEC attorneys are standing by to accomplish the necessary paperwork once this debenture is completed. The basic concept of our business is simple: (1) VideoLine has acquired a Personal Dating Platform based in the Isle of Man that has 1,600,000 subscribers and has existed since 2004. Its gross revenues are over $2,000,000 per year. The dating platform is being rolled out in Germany now and will be launched in the US in August. We will continue expanding globally and anticipate revenues of $5-7M per month from this business alone. (We just had our best month ever in the UK in June with revenues of +250K.) (2) VideoLine has the exclusive rights to sell "Tunneling Code" worldwide. Tunneling Code is a software system that allows us to maintain high rankings on world wide search engines such as Google, Yahoo and Microsoft for affiliate marketing sites. We use this software for our UK dating platform and it has increased our revenues significantly over the past year. More importantly, it has prevented any search engine penalties, which can lower revenues by 50%. We will begin marketing this patented software to business who utilize affiliate marketers in August. Note this is not SEO (Search Engine Optimization) which simply has very limited applications in a Google driven world. We at VideoLine charge firms a % of sales like a commissioned salesman for the return to us of making their affiliate site highly noticeable by end users. This simply put is what Tunneling Code does. The revenue result worldwide is in the tens of millions of dollars as we can do this in any country in the world under any language.
