Description: Phoenix 3D, Inc.(“Phoenix”) is a leading developer and provider of glasses free (autostereoscopic) 3D displays, networks and software services. Phoenix’s proprietary and patented technology creates dramatic 3D effects for digital images and videos. Unlike most other 3D formats, Phoenix displays create dramatic “pop-off-the-screen” effects which are capable of being viewed by multiple viewers without the need for specialized glasses. Our current principal market includes digital signage, including applications in high-traffic, out-of-home venues, such as retail stores, shopping malls and transit locations. We believe our technologies have potential applications in several markets in which the need for enhanced image perception accuracy and/or realism is high; including:  Outdoor signage using 3D holographic, large-screen imaging;  Education;  Medical  Homeland security and military solutions for better visualization of crucial images in 3D;  In-home 3D entertainment products (video games, feature-length movies and, potentially, traditional network broadcast content); and  Mobile devices. In addition, the Company has developed a proprietary format for rendering and transporting files for viewing 3D formats. This allows the viewing of 2 channel input on autostereoscopic (and stereoscopic) displays in real time. Extensive work is now being performed with strategic partners in the areas of video conferencing and media delivery. The Company also has extensive Intellectual Property governing the conversion of 2D to 3D media files. With the tremendous boom in 3D movies since the screening of Avatar, there has been a tremendous interest in converting 2D to 3D formats. We sell and license autostereoscopic 3D digital displays and software systems for use in a number of markets. We are currently in discussion with a number of high visibility retailers, advertisers and technology providers and integrators... Our 3D displays provide a novel and differentiated medium for promotional and advertising purposes. Using full motion video, our displays are able to attract and hold the consumers’ attention to an advertiser’s message. Through our Strategic Alliance partners, we provide additional services to our customers including content creation training and consulting for networking displays. We believe that the market potential for our 3D applications is considerable. According to IHS iSuppli research firm, 3DTV shipments would rise to more than 23 million units this year from last year’s 4.2 million units, gaining further to 159 million units in 2015. More than 500% growth, by that time, iSuppli said, 3DTV’s would account for more than 1/2 of global flat panel shipments. Further, digital out-of-home advertising is one of the hottest segments in media. Through 2016 the medium is forecast to grow nearly 16 percent annually, the third fastest-growing category behind online video and mobile, according to Magna Global, and retailers are poised to see a nice slice of that money.
